SUBJECT: Resolution No. 22-2023, amending a professional services agreement for the
Downtown Catalyst Project, CIP No. A-362
BACKGROUND
At its September 6, 2022, meeting, the Danville Town Council adopted the updated Danville
Downtown Master Plan (DMP), which builds upon 30 years of careful planning and
infrastructure investments with an updated set of implementation projects to accommodate
changing community needs brought about by the global COVID-19 pandemic.
Implementation of long-range multi-phase plans can typically require a decade or longer as
funding becomes available. Fortunately, the Town is a recipient of Local Fiscal Recovery
Funds received through the American Rescue Plan Act (ARPA). This enabled the Town
Council to allocate ARPA funds, along with other funds, to initiate two primary
implementation projects (collectively referred to as the “Catalyst Project”), as part of the
2022/23 Capital Improvement Program (CIP No. A-362).
DISCUSSION
The Town engaged SWA Group (SWA) to serve as the lead consultant for the Catalyst
Project based upon the firm’s in-depth knowledge of the community during its facilitation
of the DMP planning process. SWA has teamed with Kimley-Horn Associates (KHA) and
other subconsultants, to facilitate the project through its multiple design phases.
At its November 15, 2022, the Town Council awarded a design contract of $580,00 plus a
15% contingency amount of $87,000 for a total design budget of $667,000. This contract
amount was estimated to be sufficient to complete Schematic Design (30% plans), Design
Development (60% plans), Construction Documents (90-100% plans) and Construction
Observation and support services.
As the design team is nearing completion of the Schematic Design phase, an additional
appropriation of $48,000 is necessary to augment the Schematic Design scope to provide for
a time-and-materials contract add-on to address additional policy level feedback.
Therefore, staff seeks to amend the professional services agreement with SWA and

appropriate an additional amount of $48,000 to complete all phases of the design work. The
new amended contract amount would be $628,000 (original contract of $580,000 plus new
appropriation of $48,000). The original contingency in the amount of $87,000 would remain
in place, bringing the amended total design budget to be $715,000.

FISCAL IMPACT
Sufficient funds for the final design contract and contingency are contained in the
Downtown Improvements Project, CIP No. A-362.
RECOMMENDATION
Adopt Resolution No. 22-2023, amending a professional services agreement for the
Downtown Catalyst Project, CIP No. A-362.

RESOLUTION NO. 22-2023
AMENDING A PROFESSIONAL SERVICES AGREEMENT FOR THE
DOWNTOWN CATALYST PROJECT, CIP NO. A-362
WHEREAS, the Danville Town Council adopted the updated Danville Downtown
Master Plan (DMP) at its September 6, 2022, meeting; and
WHEREAS, the Town Council allocated American Rescue Plan Act (ARPA) funding to
advance two primary implementation projects from the DMP, collectively referred to as
the “Catalyst Project”; and
WHEREAS, the Town Council directed the expeditious implementation of the Catalyst
Project, given the strict federal timing associated with the use of ARPA funding; and
WHEREAS, SWA Group was determined to be the most qualified consultant for
expeditious project implementation; and
WHEREAS, sufficient funds have been appropriated in the Capital Improvement
Program for CIP A-362; now, therefore, be it
RESOLVED, that the Danville Town Council hereby authorize the Town Manager to
execute on behalf of the Town, an amended Professional Services Agreement with SWA
Group with an amended contract of $628,000; and that the Town Manager is authorized
to establish and utilize a previously authorized design contingency of $87,000 for a design
contract budget of $715,000.
