HomeMy WebLinkAbout155-96 RESOLUTION NO. 155-96 APPROVING SUBDIVISION MAP AND IMPROVEMENT AGREEMENT FOR SUBDIVISION 7960 (CREEK VIEW), ON THE SOUTHERLY SIDE OF CAMINO TASSAJARA, JUST WESTERLY OF TASSAJARA lANE WHEREAS, Mardel LLC, a California Limited Liability Co., subdivider of said subdivision, has requested the Town of Danville approve said Subdivision Map and Subdivision Improvement Agreement; and WHEREAS, the Subdivision Map and Subdivision Improvement Agreement comply with standards set forth in the California Subdivision Map Act and Danville Municipal Code; and WHEREAS, the subdivider has now complied with all Conditions of Approval established by the Town of Danville for the subject subdivision; and WHEREAS, said subdivision lies within the corporate limits of the Town of Danville; and WHEREAS, this Subdivision Map and Subdivision Improvement Agreement are consistent with the Town's General Plan; now, therefore, be it RESOLVED, that the Subdivision Map and Subdivision Improvement Agreement appended hereto as Exhibits 1 and 2 respectively, are hereby approved and Town staff is hereby authorized and directed to execute the same on behalf of the Town. Effective on the date of Council action, the Town of Danville, County of Contra Costa, California, hereinafter called "Town" and the named Suhdivider, mutually promise and agree as follows concerning this subdivision: 2. IMPROVEMENTS. The subdivider shall comply with all Conditions of ApproYJ..! esrabiisned by the Town Planning Commission and shall construct and install those improvements icientified on improvement plans prepared by the Subdivider, approved by the City Engineer on Nov. 7 1996 and kept on file in the Town offices of Development Services. IMPROVEMENT SECURITY. Upon executing this Agreement, the Subdivider shall, pursuant to Government Code section 66499, and the Town of Danville Municipal Code, provide as security to the Town: A. For Performance and Guarantee: $ 5.000.00 cash, plus additional security, in the amount of$ 395000.00 which together total $ 400.000.00 which is one hundred percent (100%) of the estimated cost of the work. GUARANTEE AND WARRANTY OF WORK Subdivider guarantees that said work shall be free from defects in material or workmanship and shall perform satisfactorily for a period of one (1) year from and after the Tov.'tl Council accepts the work as complete in accordance with Section 31- 11.16 of the Danville Municipal Code. Subdivider agrees to correct, repair, or replace, at his expense, any defects in said work. The guarantee period does not apply to road improvements for private roads which are not to be accepted into the Town street system. 5. PLANT ESTABLISHMENT WORK. Subdivider agrees to perform plant establishment work for landscaping installed under this agreement. Said plant establishment work shall consist of adequately \1.."atering plants, replacing unsuitable plants, doing weed, rodent and other pest control and other work determined by the City Engineer to be necessary to insure establishment of plants. IMPROVEMENT PLAN W ARRANTI'. Subdivider warrants the improvement plans for the work are adeguate to accomplish the work as promised in Section 2 and as reqUIred by the Conditions of Approval for the Subdivision. If, at any time before the Town Council accepts the work as complete or during the one year guarantee period, said improvement plans prove to be inadequate in any respect, Subdivider shall make whatever changes are necessary to accomplish the work as promised. 7. NO WAIVER BY TOWN. Inspection of the work and! or materials, or approval of work and/ or materials or statement by any officer, agent or employee of the Town indicating the work or any part thereof complies with the requirements of this Agreement or acceptance of the whole or any part of said work and/or materials, or payments therefor, or any combination or all of these acts, shall not relieve the Subdivider of his obligation to fulfill this agreement as prescribed; nor shall the Town be thereby stopped from bringing any action for damages arising from the failure to comply with any of the terms and conditions hereof. 8. INDEMNITY. Subdivider shall defend, hold harmless and indemnify the indemnities from the liabilities as de tined in this section: A The indemnities benefited and protected by this promise are the Town and its elective and appointive boards, commissions, officers, agents and employees. B. The liabilities protected against are any liability or claim for damage of any kind allegedly suffered, incurred or threatened because of actions defined below, and including personal injury, death, property damage, inverse condemnation, or any combination of these, and regardless of whether or . not such liability, claim or damage was unf,:>reseeable at any time before the Town reviewed said improvement plans or accepted the work as complete, and including the defense of any suites), action(s) or other proceeding(s) concerning said liabilities and claims. C. The actions cauc;in~ Iiabilit:y are any act or omission (negligent or non-negligent) in connection with the matters covered by this ,'\greement and attributable to the Subdivider, Contractor, Subcontractor or any officer, agent or employee of one or more of them. If Subdivider fails to complete the work wlthm the time specified in this Agreement, and subsequent extensions, or fails to maintain the work, the Town may proceed to complete and/or maintain the work by contract or otherwise, and Subdivider agrees to pay all costs and charges incurred by the Town (including, but not limited to: engineenng. inspection, surveys, contract, overhead, etc.) immediately upon demand. Once action is taken by Town to complete or maintain the work, Subdivider agrees to pay all costs incurred by the Town, even if Subdivider subsequently completes the work. Should Town sue to compel performance under this Agreement or to recover costs incurred in completing or maintaining the work, Subdivider agrees to pay all attorney's fees, and all other expenses of litigation incurred by Town in connection there\\.'ith, even if Subdivider subsequently proceeds to complete the work. 12. AS-BUILT PLANS. Before acceptance of the improvements by the Town Council, the Subdivider (or his Engineer) shall furnish the City Engineer a complete set of the original tracings of the improvement plans for the subdivision (including all revisions thereto). 13.
