RESOLUTION OF TIlE BOARD OF DIRECTORS OF THE TOWN
OF DANVILLe- CMC IMPROVEMENT FINANCING
CORPORATION ACCEPTING CONVEYANCE OF REAL
PROPERTY FROM THE TOWN OF DANVILLE
COMMUNITY DEVELOPMENT AGENCY
WHEREAS, the Town of Danville (the "Town") has previously participated in a lease
financing of certain real property described more fully in Exhibit A attached hereto and
by this reference incorporated herein (the "Property") with the Town of Danville Civic
Improvement Corporation (the "Corporation") pursuant to a Lease Agreement dated as
of August 1, 1986 by and between the Town and the Corporation (the "1986 Lease")
pursuant to which the Corporation agreed to acquire the Property and lease the Property
to the Town; and
WHEREAS, the Town and the Corporation are currently proceeding to refmance
the Town's obligations under the 1986 Lease and in connection with such proceedings
the Town of Danville Community Development Agency (the "Agency") has discovered that
due to an oversight, legal title to the Property was taken in the name of the Agency, rather
than in the name of the Corporation as required by the 1986 Lease; and
WHEREAS, in anticipation of the completion of such refinancing the Agency has
authorized the conveyance of title to such portions of the Property to the Corporation in
order to correct such oversight and effectuate the requirements of the 1986 Lease;
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Town of
Danville Civic Improvement Financing Corporation as follows:
SECTION 1. Conveyance of Title to Corporation. The Board hereby accepts the
conveyance from the Agency of fee title in and to all portions of the Property which are
currently owned by the Agency. The President, the Executive Director, the Secretary and
any and all other officers of the Corporation are hereby authorized and directed, for and
in the name and on behalf of the Corporation, to do any and all things and take any and
all actions, including execution and delivery of any and all deeds, assignments, certificates,
requisitions, agreements, notices, consents, instruments of conveyance, warrants and other
documents, which they, or any of them, may deem necessary or advisable in order to
consummate such conveyance of rifle.
SECTION 2. Effective Date. This Resolution shall take effect from and after the
date of its passage and adoption.

Financing Corporation at a Special Meeting held on Tuesday, May 5, 1992, by the
