DOANE WHEREAS, on July 17, 1988, the Town of Danville ("Town") entered into a Professional Services Employment Agreement with Mark J. Doane ("Doane") relating to his services as City Attorney; and WHEREAS, said Agreement provides that Doane will be considered for a performance-based increase in compensation at least once a year; and WHEREAS, the Danville Town Council has evaluated the City Attorney's performance over the past year and has determined that Doane has performed his duties in a diligent, professional and highly satisfactory manner; and WHEREAS, based upon such evaluation, the Town Council has determined to increase the compensation set forth in said Agreement; now, therefore BE IT RESOLVED, by the Town Council of the Town of Danville, that the Mayor be and is hereby authorized to execute, on behalf of the Town, a Second Amendment to Professional Services Employment Agreement with Mark J. Doane, in the form as attached hereto and incorporated in full herein by this reference, together with such changes as may hereafter become necessary, provided that such changes do not materially increase the obligations of the Town thereunder. PASSED, APPROVED AND ADOPTED by the Town Council of the Town of Danville at a Regular Meeting duly held on October 2, 1990, by the following vote: AYES: GREENBERG, LANE, RITCHEY, SCHLENDORF, SHIMANSKY NOES: NONE ABSTAIN: NONE ABSENT: NONE ATTEST: APPROVED AS TO FORM: CiTY~T¥~N~y--' SECOND i~,ENDMENT TO PROFESSIONAL SERVICES EMPLOYMENT AGREENENT THIS AMENDMENT TO AGREEMENT, entered into by the Town of Danville ("Town") and Mark J. Doane ("Attorney"), amends the Professional Services EmploymentAgreement ("Agreement") dated July 17, 1988, by and between Town and Attorney. R E C I T A L S · Attorney has served as Town's City Attorney since August 15, 1988. · Town, through its Town Council, has evaluated Attorney's performance and concluded that Attorney has performed his duties in a diligent, professional and highly satisfactory manner· · Town and Attorney mutually desire to amend the Agreement in certain respects· THEREFORE, Town and Attorney agree to amend the Agreement as follows: AMENDMENTS · Section Four of the Agreement is amended to provide that Attorney's base salary shall be Six Thousand Nine Hundred and Eighty-Seven Dollars ($6,987.00) per month. · Attorney shall receive a cash bonus of Three Thousand Dollars ($3,000.00) in recognition of meritorious service. · The foregoing amendments shall be effective as of August 15, 1990.
