APPROVING ADDENDUM TO DEVELOPMENT AGREEMENT FOR
TASSAJARA RANCH AND THEREBY CONSENTING TO THE
ASSIGNMENT OF RIGHTS AND RESPONSIBILITIES FROM THE
J. G. TASSAJARA ASSOCIATES TO J. G. VENTURE II
A. On May 6, 1987, the Town approved and entered into a Development
Agreement between the Town of Danville and Tassajara Partners, Fredricks
Development Corporation and Presley of Northern California, Inc. (by
Ordinance No. 112). The Development Agreement was recorded in the office
of tile County Recorder on May 26, 1987, at book 13663, page 576. On
August 15, 1988, the Town Council consented to the assignment of rights
to South Hill Partners, Ltd.
B. The Development Agreement sets forth certain rights and
responsibilities for the developers. The Development Agreement provides
in section 3 that rights may be assigned without the consent of the Town.
However, such assignment or transfer does not relieve the transferor from
liability or obligation unless the Town consents in writing.
C. J. G. Tassajara Associates has sold certain of its real property
to and assigned its rights under the Development Agreement to J. G.
Venture II, and requests that the Town consent to this assignment.
D. The Town staff has prepared an Addendum to the Development
Agreement to be recorded which confirms the assignment. A copy is
attached to this Resolution.
NOW, THEREFORE, the Town Council of the Town of Danville resolves
that:
1. The Addendum to the Development Agreement is approved and the
Mayoz' is authorized to sign the Addendum.
2. After all parties have signed the Addendum, the city Clerk is
directed to record it in the office of the County Recorder.

ADDENDUM TO DEVELOPMENT AGREEMENT
FOR DEVELOPMENT OF TASSAJARA RANCH
This Addendum is entered into between the Town of Danville, the J. G.
Tassajara Associates ("assignor") and J. G. Venture II ("assignee").
This Addendum is based on the following facts:
A. On May 6, 1987, the Town approved and entered into a Development
Agreement between the Town of Danville and Tassajara Partners,
Fredricks Development Corporation and Presley of Northern California,
Inc., for development of Tassajara Ranch. (Ordinance No. 112)
B. The Development Agreement was recorded in the office of the County
Recorder on May 26, 1987, at Book 13663, page 576.
C. J. G. Tassajara Associates has assigned its rights under the
Development Agreement to its successor, J. G. Venture II, as permitted
by Section 3 of the Development Agreement.
D. J. G. Tassajara Associates (the assignor), J. G. Venture II
(the assignee) and the Town wish to record their consent to this
assignment by this Addendum.
NOW, THEREFORE, the parties agree as follows:
1. J. G. Tassajara Associates has conveyed to J. G. Venture II all
of its real property within the Tassajara Ranch area located in the
Town of Danville, Contra Costa County, California~ more
particularly described in Exhibit A attached to this Addendum.
2. J. G. Tassajara hereby assigns, transfers and sets over to J.
G. Venture II all of its right, title and interest in and to the
Development Agreement.
3. Jo G. Venture II assumes all of J. G. Tassajara Associates'
obligations under the Development Agreement for the real property
described in Exhibit A. This assignment shall be binding on and
inure to the benefit of the parties and their respective successors
and assigns.
4. The Town of Danville consents to this assignment.
IN WITNESS WHEREOF, the parties have executed this Agreement
effective as of the latest date of any signature below.

ASSIGNMENT AND ASSUMPTION AGREEMENT
This ASSIGNMENT AND ASSUMPTION AGREEMENT (this
"Assignment") is made as of May 31, 1989, between JG TASSAJARA
ASSOCIATES, a California limited partnership ("Assignor") and JG
VENTURE II, a California general partnership ("Assignee").
RECITALS
Concurrently with the execution of this Assignment,
Assignor is conveying to Assignee that certain property in
Tassajara Ranch Subdivision 6878, Danville, California (the
"Subdivision") described in Exhibit A attached hereto (the
"Propertyu') pursuant to the terms and conditions of that certain
Real Property Purchase and Sale Agreement dated May 30, 1989,
between Assignor and Assignee (the "Purchase Agreement"). The
Property consists of all the lots in Phase III of the Subdivision,
one lot in Phase IV (ie., Lot 24) and Lots 249-255 in Phase II of
the Subdivision.
Prior to the conveyance of the Property to Assignee,
Assignor and/or its predecessors in interest to the Property
entered into various agreements involving the entire Subdivision
prior to the recordation of final subdivision maps for Phase II,
III and IV of the Subdivision. Accordingly, while various
provisions in these agreements affect each lot in the Subdivision
(including those acquired by Assignee), other provisions affect the
Subdivision as a whole. The purpose of this Assignment is for
Assignor to assign to Assignee and for Assignee to assume from
Assignor those rights, title, interests, obligations and duties to
the extent they affect each lot in the Property.
AGREEMENT
NOW THEREFORE, in consideration of the mutual covenants
contained herein and for good and valuable consideration, the
adequacy and receipt of which are hereby mutually acknowledged,
Assignor and Assignee agree as follows:
1. Assignment.
1.1 Assignor hereby assigns, transfers and sets
over to Assignee all of Assignor's rights, title and interests in
and to the Subdivision Improvement Agreement for Subdivision 7134,
Tassajara Ranch, Unit 3 (the "Subdivision Improvement Agreement").
In addition, Assignor hereby assigns, transfers and sets over to
Assignee all of Assignor's rights, title and interests in and to
the contracts, agreements, plans and other documents described in
Exhibit B attached (collectively, the "Contracts").
1.2 From and after the date of this Assignment,
Assignee hereby accepts the assignment of Assignor's interest in

the Subdivision Improvement Agreement and the Contracts and hereby
assumes all of the obligations and duties of Assignor thereunder.
2. Indemnity.
2.1 Assignor agrees to and does hereby indemnify,
defend and hold Assignee harmless from and against any and all
loss, liability, damage, cost or expense, including reasonable
attorneys' fees, arising out of or in connection with the
obligation of Assignor under the Subdivision Improvement Agreement
and the Contracts prior to the date of this Assignment.
2.2 Assignee agrees to and does hereby indemnify,
defend and hold Assignor harmless from and against any and all
loss, liability, damage, cost or expense, including reasonable
attorneys' fees, arising out of or in connection with the
obligations assumed by Assignee hereunder from and after the date
of this Assignment.
3. Attorneys' Fees. In any dispute between the parties
concerning this Assignment, whether or not resulting in litigation
or any appeal therefrom, the prevailing party shall be entitled to
recover from the other party all reasonable costs, including,
without limitation, reasonable attorneys' fees. "Prevailing
parties" shall include without limitation (1) a party who dismisses
an action in exchange for sums allegedly due; (2) the party who
receives performance from the other party of an alleged breached
covenant or desired remedy where such performance is substantially
equal to the relief sought in an action; or (3) the party
determined to be the prevailing party by a court of law.
4. Successors and Assigns. This Assignment shall be
binding on and inure to the benefit of the parties hereto and their
respective successors and assigns.
IN WITNESS WHEREOF, Assignor and Assignee have executed
this Assignment as of the date first above written.
