HomeMy WebLinkAbout051-89 RESOLUTION NO. 51-89 APPROVING FIRST AMENDMENT TO PROFESSIONAL SERVICES EMPLOYMENT AGREEMENT WITH GEORGE A. SIPEL WHEREAS, on March 7, 1988 the Town of Danville entered into a Professional Services Employment Agreement with George A. Sipel relating to his services as Town Manager; and WHEREAS, said Agreement provides that Sipel will be considered for a performance-based increase in compensation at least once a year; and WHEREAS, the Danville Town Council has evaluated the Town Manager's performance over the past year and has determined that Sipel has performed his duties in a diligent, professional and highly satisfactory manner; and WHEREAS, based upon such evaluation, the Town Council has determined to increase the compensation set forth in said Agreement; now, therefore BE IT RESOLVED, by the Town Council of the Town of Danville, that the Mayor be and is hereby authorized to execute, on behalf of the Town, a First Amendment to Professional Services Employment Agreement with George A. Sipel, in the form as attached hereto and incorporated in full herein by this reference, together with such changes as may hereafter become necessary, provided that such changes do not materially increase the obligations of the Town thereunder. PASSED, APPROVED AND ADOPTED by the Town Council of the Town of Danville at the regular meeting duly held this 1st day of May, 1989, by the following vote: AYES: GREENBERG, JAGGER, LANE, RITCHEY, SCHLENDORF NOES: NONE ABSTAIN: NONE ABSENT: NONE > /C~t~-Attorney FIRST AMENDMENT TO PROFESSIONAL SERVICES EMPLOYMENT AGREEMENT THIS AMENDMENT TO AGREEMENT, entered into by the Town of Danville ("Town") and George A. Sipel ("Manager"), amends th~ Professional Services Employment Agreement ("Agreement") dated March 7, 1988 by and between Town and Manager. RECITALS 1. Manager has served as chief executive officer of Town since April 1, 1988. 2. Town, through its Town Counoil, has evaluated Manager's performance and concluded that Manager has performed his duties in a diligent, professional and highly satisfactory manner. 3. Town and Manager mutually desire to amend the Agreement in certain respects. THEREFORE, Town and Manager agree to amend the Agreement as follows: AMENDMENTS 1. Manager's current base salary shall be increased by five percent (5%). 2. The final sentence in Paragraph B.3. of the Agreement, relating to cost of living increases, is hereby deleted in its entirety. 3. Manager shall receive nine (9) days annual general leave in addition to the general leave benefits set forth in Paragraph B.7. of the Agreement. 4. The foregoing amendments shall be effective as of April 1, ]989.
