HomeMy WebLinkAbout119-87RESOLUTION NO. 119-87 A Resolution of the Town Council of the Town of Danville Appointing Interim Town Manager WHEREAS, Danville's Manager since 1982 has resigned effective January 15, 1988 to accept another position in local government, and; WHEREAS, it is important that steps be taken to insure a smooth transition while the selection process for a new Town Manager is underway, NOW, THEREFORE, BE IT RESOLVED THAT: 1. George Sipel, former City Manager of Palo Alto, California, and currently a training consultant to the Town of Danville is hereby appointed to the position of "Assistant to the Town Manager" effective January 4, 1988 and "Acting Town Manager" effective January 15, 1988; and 2. All duties, responsibilities, and powers assigned to the Manager by Ordinance No. 10 and resolutions and policies of the Town Council are hereby assigned to Mr. Sipel effective January 15, 1988; and 3. Mr. Sipel is hereby appointed Acting Executive Director of the Danville Community Development Agency, Secretary to the Danville civic Improvement Corporation, and Director of Emergency Services effective January 15, 1988; and 4. The attached Professional Services Agreement (Exhibit A) outlining the terms and conditions of Mr. Sipel's appointment is hereby approved. PARTIES - The Town of Danville and . . George Sipel Associates (Consultant) (Name) ("Provider") 215 Cowper Street, Palo Alto, California 94301 (Address) 415-321-7479 (Business Phone) (Home Phone) agree and promise as follows: RESPONSIBILITIES - The provider agrees to perform the service(s) Ilsted below. The provider shall exercise control over his or her work and the manner of Its performance, and is free to provide this or other services to others during the term of this agreement. Specifically, the provider agrees to do the following: Serve as Assistant Town Manager and Acting Town Manager in accordance with the terms and conditions described in Attachment A of this agreement. COMPENSATION - The Town agrees to compensate the provider for the performance of the sewices listed in 2. RESPONSIBILITIES. The provider understands and agrees that he or she acts as an independent contractor and not as an employee of the Town, that he or she bears all other responsibilities, and no other compensation or benefits (including workers compensation insurance) shall be provided by the Town except as stipulated In this section. The Town agrees topay to the provider, subject to the conditions above, an amount not to exceed $50.00 per hour x~f~,~ {$~xxxxxxxxx). Such payment shall be made within fifteen days after completion of the responsibilities and receipt of an invoice listed in Section 2 or in the following manner: . TERM - This agreement shall be in effect from January 4 ,1988 to April 1 ,19 88 ~~~xe~ewabi~~xx~x slm~x~~~ or the date on which a new City Manager starts to wark -- whichever date occurs first. Both parties, having understood and agreed to the terms and conditions above, do execute this agreement. The agreement is renewable with written consent of the parties. Signature Date FOR THE TOWN OF DANVILLE Signature-~_~f~/ ,~ A Date //~ 2.- r-- ~' 7 ATTACHMENT A to EXHIBIT A to STANDARD FORM CONTRACT Re: George Sipel Associates Scope of Work l· Consultant shall serve in the positions of Assistant Town Manager effective January 4, 1988, and "Acting" Town Manager effective January 16, 1988, and shall perform those duties assigned to the Manager by Ordinance 10 (Attachment B) and other resolutions and policies adopted by the Council. · Consultant shall also concurrently serve in the positions of Executive Director of the Danville Community Development Agency, Secretary to the Danville civic Improvement Corporation, and Director of Emergency Services and shall perform the duties required of these positions from time to time. · Consultant shall keep regular office hours at the Danville Town offices (8:30 a.m. - 5:00 p.m.) at least four work days each work week and shall attend all regular and special meetings of the Town Council· · Consultant shall provide his own personal automobile as required for the conduct of Town business· Town's Responsibilities l· The Town shall hold harmless and defend Consultant from any claim or judgment made against the Consultant and/or the Town and the Consultant to the extent that the claim or judgment results from the Consultant's performance of his lawful duties in accordance with Chapter 2, Title 2 et al of the Danville Municipal Code. · The Town shall provide insurance for Consultant's automobile limited in effect to those times that the vehicle is in use on Town business excluding trips to and from Consultant's place of residence to the Town offices· · The Town shall provide a suitable office and secretarial service for the Consultant· Compensation The Town shall compensate Consultant the sum of $50 per hour and shall reimburse Consultant for direct out-of-pocket expenses provided that funds for such expenses have been authorized in the Town's 1987-88 financial plan. Consultant shall be paid on the first and fifteenth day of each month provided that an invoice from consultant for services rendered and expenses incurred has been submitted. The maximum amount of time for which Consultant will receive compensation during any bi-weekly pay period shall be 87 hours· It is understood that Consultant will continue other services (i.e. training services) to the Town pursuant to a separate pre-existing agreement and shall be paid separately for these services·
